~~London, England / Edina, Minnesota (June 16, 2016) – Tyman PLC, parent company of AmesburyTruth™, a premier manufacturer of window and door components for residential and commercial applications, has entered into a definitive agreement to acquire The BILCO Company. The acquisition will enable AmesburyTruth to broaden its commercial product portfolio and further penetrate the commercial market segment. BILCO is a leading supplier of specialty access products for both residential and commercial markets. The terms of the agreement will be effective July 1, 2016 at which time BILCO will become a wholly owned subsidiary of AmesburyTruth.  

BILCO will continue to manufacture commercial and residential access products from its existing facilities. AmesburyTruthâ„¢ Announces The Sale of Its Non-Fenestration Custom Extrusion Business

Edina, MN  – AmesburyTruth™, a premier manufacturer of window and door components for residential and commercial applications, has entered into a definitive agreement to sell its non-fenestration custom extrusion business based in Ontario, California to VIP Rubber and Plastic Products. Under the terms of the agreement, AmesburyTruth will retain the fenestration custom extrusion business as well as the Bandlock Couplers business.

The 72,000-square-foot facility has approximately 50 employees. The business had numerous competencies including custom fenestration extrusion, custom non-fenestration extrusion, and metal fabrication capabilities. AmesburyTruth will retain two employees who will be instrumental in further developing our fenestration business.

The custom extrusion business in Ontario served a number of markets spanning across fenestration and non-fenestration products. AmesburyTruth will consolidate the custom extrusion business for fenestration products and relocate operations to Cannon Falls, Minnesota. Significant investments have been made in the Cannon Falls facility to satisfy future demand. The engineering team in Cannon Falls will focus on optimizing products through material evaluation, process improvement, and product design to better serve fenestration customers.

The Bandlock Couplers business has already relocated from California to the company’s operations in Fremont, Nebraska. The Fremont facility specializes in metal fabrication and is well staffed with engineers to design, develop and manufacture fittings and couplings needed for the Vacuum industry.

The sale of the custom extrusion non-fenestration business is expected to be complete on April 13.

Cooke brings more than 7 years of experience in building supply, vinyl product extrusion, and building supply distribution industries to his new position. Prior to joining AmesburyTruth, Cooke was employed by Guardian Building Products Distribution, one of the largest two-step building materials distributors in the United States. In that role, he worked directly with suppliers and customers to optimize value delivery, assess overall footprint, and develop strategies to enhance enterprise performance.  Prior to working for Guardian Building Products Distribution, Cooke was the division sales and marketing director for Mid Atlantic Vinyl Products.

In his new role, Cooke will evaluate, develop and execute strategies that capitalize on adding value to the channel delivery process for AmesburyTruth customers. Based in Statesville, North Carolina, Cooke will leverage internal and external resources to understand and drive customer values designed to increase overall sales contribution.

Senior Management Changes At Amesbury and Truth Hardware

Tyman Plc, the parent company of both Amesbury and Truth Hardware, has announced senior management changes as part of the integration of the business following the acquisition of Truth in July of 2013.

Jeff Graby, currently President of Truth Hardware will assume the role of President and CEO for the combined Amesbury and Truth organizations effective immediately. Graby joined Truth in 2012, and prior to that held a number of senior management positions within Interface Solutions, RAM Industries and FES Systems, Inc. Jonathan Petromelis, currently the President & CEO of Amesbury has made the decision to further his career outside of the Tyman Group following a period in which he will advise on integration initiatives before leaving the business.

In addition, Mike McCann will join the company to oversee sales and marketing activities across both Amesbury and Truth brands, as Senior Vice President of Sales & Marketing. Mike brings to the business extensive sales and marketing experience from senior roles with Toshiba, Xerox and most recently Guardian Industries where he was VP Global Sales. McCann follows Steve Groves, Senior VP or Sales, Marketing & New Product Development who is retiring following a very successful career at Truth Hardware where he helped lead many important initiatives for the company.

Truth's Acquisition by Tyman Plc Featured in DWM Magazine

Tyman Plc, the parent company of Amesbury, completed the acquisition of Truth Hardware of Owatonna, Minn., from Melrose Industries Plc on July 15. The two former competitors and industry leading hardware companies will now be under the same corporate ownership. What does this mean for its customers, employees and the industry as a whole? Jonathan Petromelis, president and CEO Amesbury and Jeff Graby, president at Truth, spoke to DWM magazine to offer some of the details behind the big news.

The two executives are members of a steering group that will lead the integration of the two companies, along with Louis Eperjesi, CEO of Tyman and Tyman CFO James Brotherton.

Petromelis says Truth will be integrated under Amesbury but is quick to point out that the Truth name isn't going away.

"As a combined business we need to combine ourselves," he says. "But it's far too early to know other details as we just finished our last site visit. What we have told everyone is this will be a 12-month process and that still stands."

Graby jokes that the few decisions that have been made aren't very interesting ones.

"The integration is early on every front," adds Graby. "The big ones wouldn't interest anyone as they are about our 401K plan," and adds that the companies have to address everything from healthcare to finance to logos and presence at trade shows.

"I am extraordinarily pleased with the initial discussions so far and all the face to face meetings," adds Graby. "The direction of our committee is to solicit feedback from sales teams, etc., and listen to the customer and find out where things can be improved."

It turns out the two companies are almost a perfect fit for one another in terms of products offered and the company culture.

"We are finding that we are very aligned in our thinking," says Petromelis. "We are both engineered, value-added manufacturing businesses and that's what aligns us."

"The first thing that comes to mind is we are both very keen on the safety of employees," adds Graby. "I have seen every agenda item open with safety. Much of what we are working on is trying to instill this philosophy as well. More from the market side, we are all about making a great experience for the customer. This is geared around the value proposition of on time delivery and a good quality product. We both want to enhance the customer brand experience, so we are very aligned in our thinking."

Corporate philosophies aside, both companies also have complementary products that are enticing to those on both sides. In fact, Truth's position as the "industry leader in the casement window market" is one of the things that made them so attractive, says Petromelis.

"Truth has been entrenched in the casement window market for 50 years," he says. "They are the longtime leaders in the casement hardware side."

Graby adds that the acquisition combines individual strengths into a much more integrated company.

"They are great at sliding windows, balances, sealing solutions, etc.," he says. "Together we have a much more comprehensive portfolio and a better engineered solution whether it's a balance, sealing solution, or casement hardware. And we both are in the patio door market so together we can bring new products to the marketplace."

Graby adds that he, along with many Truth employees, are glad to be owned by a company that specializes in the fenestration market as that has never been the case until now.

"We share the same customers, the same fundamental interests and quite frankly we are very excited," he says.

There is no doubt that strategic plans are in the thoughts of top executives.

"When I look at our strategic plans it will be to continue to expand in residential but we also have a focus to expand commercially and we will do that with Truth," says Petromelis. "Truth actually has a higher penetration in the commercial market, so combined it will give us a good base for expansion."

While putting these big plans in place they won't forget about the most important part of the equation.

"The big thing for us is to always focus on the customer," says Petromelis. "That is always the focus for us and that will continue."

Stretching Productivity

Recently, Truth Hardware was recognized by Enterprise Minnesota for their Overall Wellness Program. Repetitive work and the aging process can take a toll on muscles and joints.  Experts have found that stretching can help reduce muscle-related discomfort and reduce future injuries. In addition, the stretch breaks reduce fatigue of the muscles and help increase the productivity of our employees.

Therefore, each work-day, employees at the Owatonna-based plant on the manufacturing floor participate in stretching breaks. These stretching breaks are usually broken up into three different segments for up to 15 minutes each work-day. The feedback from our employees have been nothing but positive. Truth Wins Crystal Achievement Awards

Recently Truth Hardware participated in the GlassBuild America Tradeshow in Atlanta, GA. Sponsored by the National Glass Association (NGA) this tradeshow annually alternates in venues between Las Vegas and Atlanta and draws a large audience of businesses related to the window and door industry. During this show, NGA recognized the winners of this years Crystal Achievement Awards and Truth Hardware was fortunate to win, not one, but two awards this year. This industry-wide competition is promoted through one of NGA's flagship publications, Window & Door Magazine to honor the industry's innovators in technology, manufacturing and marketing. Winning in the category of Most Innovative Door Hardware Component, Truth won for our new Sentry Multi-Point Swinging Patio Door Hardware System. In addition, Truth Hardware received top honors for Best Product Literature, which was in recognition for the integrated marketing program (print & electronic) created to help launch the Sentry System.

Truth Receives Awards and National Recognition

Over the past few weeks, Truth Hardware has learned that we earned the top spot in competition held by two of our industry's premier publications. The first news came when Door & Window Manufacturer (DWM) Magazine announced the winners of their 1st Annual Green Awards. Meant to recognize those companies in our industry who have established policies and procedures to help conserve resources and produce less waste, Truth Hardware was announced the winner of the Hardware Manufacturer Division. Truth earned this award based on our commitment to eliminating waste and saving energy through the discovery and development of new manufacturing technologies and improved operational processes. From recycling our material scrap (metal shavings, trimmings, etc.) and corrugated products, to the efforts made to continue to become paperless and more energy efficient throughout the facility, Truth has taken steps in the right direction to help make our world a bit "greener".

In addition, Truth recently learned that we were announced as the winner of a Crystal Achievement Award by the publishers of Window & Door Magazine in a category called Best Product Literature. This award was received for Truth's new promotional catalog that was developed this past year. An interactive version of this printed piece has become a very popular spot on Truth's website, www.truth.com). Truth's customers and our even our sales team have found this to be a valuable resource as it has active links built into it which takes the viewer directly to related product spec sheets within our technical catalog.

It should be noted that two of Truth's customers, Marvin Windows and Hurd Window & Doors, also received Crystal Achievement Awards this year. Their honors were for Most Innovative Window in the Large and Small Manufacturer Categories, respectively. The windows that each of these companies earned their awards for (Marvin's Ultimate Push-out Casement Window and Hurd's H-3 Casement Window) were ones that Truth played an integral role in the development of the hardware for those window systems.

Truth also earned Crystal Achievement Awards in 2004 & 2006 in the Most Innovative Window & Door Component categories.
